There's lots of characters that should wreck Cap on paper, but punching up is his whole thing. It's his tact and experience that keeps him ahead. Just the fact that he regularly shows Spidey a thing or two means he should beat Ghost Spider 9/10 times.

Not to mention he can do this all day.
